IPO Advisory
From Birth to Listing — and Beyond.
Comprehensive corporate lifecycle and capital markets advisory — we guide founders and enterprises through every evolutionary phase of the business, ensuring seamless regulatory compliance, strategic capital structuring and complete public market readiness.
1. Birth / Start — Startup Stage
Building a resilient foundation requires precise initial capitalization and structural foresight.
- Company Formation — found the company, build the scalable business model, and issue initial physical or electronic equity shares to founders
- Seed Capital — secure early-stage angel or venture capital funding to finance initial market entry and product development
2. Teenage Years — Revenue, Profit & Growth
As the enterprise scales through growth and maturity, operational track records and strict governance become paramount.
- Operational Scaling — establish solid financial track records, optimize profit margins, and build strict corporate governance frameworks
- Mandatory Dematerialization — convert all existing physical share certificates held by promoters and early investors into electronic form via depositories (National Securities Depository Limited / Central Depository Services Limited); unlisted public companies must dematerialize their shares before an IPO
3. IPO Architects — Team Building
A successful public offering relies on sixteen coordinated players — the architects who draft, audit, underwrite and clear every block of the offering.

- Independent Directors — governance & minority protection
- Statutory & Governance Committees — Audit, NRC, Stakeholders
- Legal Counsel / Lawyers — DRHP, RHP & legal diligence
- Statutory Auditors — 3-year restated financials
- Merchant Bankers / BRLMs — valuation, pricing & roadshows
- Underwriter — minimum-subscription guarantee (~90%)
- Registrar & Transfer Agent (RTA) — allotment, refunds & demat credit
- Market Maker — two-way liquidity for SME listings
- Regulator — SEBI
- Depositories — CDSL / NSDL
- Exchanges — NSE / BSE
- Brokers — Zerodha, Groww etc.
- Bankers to the Issue / SCSBs — ASBA fund blocking
- Promoters / Founders — fresh issue or OFS, under lock-in
- Investors — QIBs, NIIs & RIIs with reserved quotas
4. Pre-IPO — Unlisted Shares Strategy
The final preparatory phase involves rigorous regulatory filings and locking in the unlisted equity structure.
- Regulatory Filings — draft and file the Draft Red Herring Prospectus (DRHP) with SEBI to clear regulatory hurdles
- ISIN Activation — before any shares can be traded electronically, finalize agreements with depositories (NSDL / CDSL), who assign the International Securities Identification Number (ISIN) that uniquely identifies the company's securities in the global market
- Promoter Lock-in — lock in promoter shares in demat accounts as per regulatory requirements and finalize anchor investor allocations; depositories place systematic electronic freezes on promoter and pre-IPO investor shares, strictly enforcing SEBI's mandatory lock-in periods to prevent premature sell-offs on listing day
5. IPO Listing — Listed Shares Transition
Executing the transition from private equity to listed shares requires flawless technological and regulatory coordination — depositories (NSDL & CDSL) act as the vital digital infrastructure of the IPO.
- Public Bidding — open the public bidding window via the transparent ASBA (Application Supported by Blocked Amount) and UPI mechanisms
- Data Validation — during the bidding window, the RTA cross-references bidder data with NSDL and CDSL databases; the depositories verify that the PAN and Demat account numbers provided by applicants are active, valid and matching, preventing fraudulent or erroneous applications
- Allotment & Trading — once the basis of allotment is finalized, the depositories execute a corporate action instruction: they electronically create and directly credit the exact number of allotted shares into the successful investors' respective Demat accounts just days before the official listing date, and public trading commences on the NSE / BSE
6A. Positive Outcome — Wealth Creation & Institutionalization
A successful market debut unlocks distinct pathways for wealth management and institutional ownership.
- Market Capitalization — achieve robust trading volume and market capitalization in the secondary market
- Institutional Liquidity — enable seamless, electronic block trades and liquidity tracking for institutional investors like Mutual Funds (MF) and Portfolio Management Services (PMS)
- Wealth Ecosystems — unlock liquid wealth for promoters, transitioning proceeds into Family Offices and broader Wealth Management ecosystems, or pursuing strategic Mergers & Acquisitions (M&A)
6B. Negative Outcome — Restructuring & Resolution
In the event of systemic failure or severe financial distress, we provide structured resolution pathways.
- Insolvency Proceedings — trigger and manage corporate insolvency resolution processes under the Insolvency and Bankruptcy Code (IBC)
- Tribunal Administration — face asset liquidation or corporate restructuring under the administration of the National Company Law Tribunal (NCLT), where electronic share registries are formally frozen or transferred to new entities
